The Ferrari Challenge is an internal sales promotion brought to you by VIP Wireless.

ELIGIBILITY: To be eligible, you must be a VIP Wholesale customer who has ordered at least ten [10] Motorola i1 handsets during the promotional period (7/1/10 at 12:00am through 7/31/10 at 11:59pm EST).

HOW TO ENTER: Ordering at least 10 Motorola i1 handsets during the promotional period will automatically enter you in the promotion. Dealers may receive additional entries by ordering additional phones as follows:

• Once you've order 10 Motorola i1's, you will automatically receive one entry.
• For every Motorola i1 handset over 10, you'll receive one additional entry.
• There is no limit on the number of entries per dealer.

PRIZE: One winner will be selected at random after the promotional period concludes on 7/31/10. Ferrari Challenge prize: (1) 2-Day Ferrari Driving Experience in Mt. Tremblant, Canada, ARV $10,000.

The odds of being selected depend on the number of entries received during the Entry Period. If the potential winner cannot be contacted within five (5) days after the first attempt to contact him/her, the promotion administrator may select an alternate potential winner in his/her place at random from the remaining entries. Once winner and authenticity is verified, an Affidavit of Eligibility will be mailed to the winner at an address provided by winner. Winner of prizes will be required to complete and return "Acknowledgement of Eligibility" prior to receiving any prize. Sign and return the Affidavit of Eligibility to promotion administrator at the address provided within ten (10) days. Upon receipt by promotion administrator of the signed Affidavit of Eligibility, you will receive either written or verbal instruction from promotion administrator on how to obtain the prize. To obtain prize, these instructions and/or the instructions on each entry must be followed. Promotion administrator reserves the right to withhold a prize or disqualify any person who does not comply with these instructions. Prizes must be claimed no later than 8/30/10.

RELEASE AND INDEMNITY. Each entrant in this promotion, including, hereby releases and agrees to hold harmless the VIP WIreless, wireless entities and their parents, affiliates, subsidiaries, and mobile messaging vendors (i.e., promotion administrator) and their respective directors, officers, employees, representatives and agents (collectively "Released Parties") from and against any claim or cause of action arising out of participation in the promotion or receipt or use of any prize, including, but not limited to: (a) any technical errors that may prevent an entrant from submitting an entry; (b) unauthorized human intervention in the promotion; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the promotion or the processing of entries; or (f) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the promotion or receipt of any prize. Entrant further agrees that in any cause of action, the Released Parties' liability will be limited to the cost of entering and participating in the promotion, and in no event shall the Released Parties be liable for attorney's fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

PRIVACY & PUBLICITY. Except where prohibited, by entering the promotion you also irrevocably agree that the Promotion Entity may use your name, likeness, voice, photograph and any statements regarding your entry and participation in the promotion (collectively, "Your Likeness") throughout the world, in perpetuity, in any media, without limitation or compensation to you. By entering the promotion, you permanently waive all privacy/publicity rights and other legal or moral rights that might preclude the promotion Entity's use of Your Likeness, and you agree not to sue or assert any claim against the promotion Entity relating to their use of Your Likeness.
